Corporate compliances

Every Indian company has a fixed rhythm of board meetings, annual filings and event-based forms. We run that rhythm for you, so your company stays in good standing and is always ready for investors, banks and auditors.

Statutory registers and minute books on an office desk

What we do

  • Incorporation and the post-incorporation checklist: first auditor, commencement of business declaration (INC-20A within 180 days), registers and share certificates
  • Board meetings, general meetings and minutes in line with the Secretarial Standards
  • Annual filings: financial statements (AOC-4) and annual return (MGT-7 / MGT-7A)
  • Event-based filings: changes in directors, share capital, registered office and auditors
  • Significant beneficial ownership declarations, director KYC and deposit returns
  • Maintenance of statutory registers and dematerialisation of shares where required
  • Annual compliance reviews for subsidiaries of foreign companies

Filings that must be certified by a practising company secretary or chartered accountant are certified by qualified professionals working with our team.

Common questions

Does a foreign-owned subsidiary have different compliance?

It follows the same Companies Act requirements as any Indian company, plus FEMA reporting on foreign investment, such as the annual FLA return and filings for each new issue of shares.

What happens if annual filings are late?

The MCA charges additional fees for each day of delay, and continued default can lead to penalties for the company and its officers and, eventually, director disqualification.

Can you take over compliance from our current provider?

Yes. We start with a health check of past filings and registers, fix any gaps, then run the calendar going forward.
